To: the business named in its acceptance (Schedule 1, part A)

These team terms are between Nox FZE, a Free Zone Establishment with Limited Liability holding License No. 11054 issued by the Umm Al Quwain Free Trade Zone Authority, with its registered office at M1003, Al Shmookh Business Center, One UAQ, UAQ Free Trade Zone, PO Box 11250, Umm Al Quwain, United Arab Emirates ("Nox FZE", "we", "us"), and the business named in its acceptance ("you"). They are for businesses only, acting in the course of their trade, and are published at https://noxfze.com/terms/team/1.3; the published copy never changes, and a revision is a new version at a new address. These team terms, with the details your acceptance gives under section 6, are your order form ("this order form"). It binds both parties as section 6 sets out.

What Nox FZE supplies. Nox FZE configures, operates, and maintains market data capture software to each customer's specification, with every hour sealed into a hash chain. Under this order form it runs one recorder, to your specification in Schedule 1, that records one venue's public market data for the instruments you list and delivers each sealed hour into storage you own. Each hour can be checked with the open verifier. This is a service: Nox FZE sells you no data, no packaged software and no software license, and gives no advice. The recorder connects only to the venue's public, unauthenticated channels; it places no order, holds no funds or assets and produces no real-time output.

A. Our appointment. Each recorder you order appoints Nox FZE as your service provider to configure, operate and maintain that one recorder, for your account only and to the specification you set. Nox FZE connects to the venue for you, as your appointed service provider, from its own hosts; it relays no traffic of yours, and it delivers each sealed hour to your bucket. Nox FZE acquires no right in the recordings and uses them for no purpose of its own.

B. What we never do with your recordings. Nox FZE never: serves more than one customer from one recorder's capture; pools, cross-deduplicates or archives recordings across customers; keeps any copy of your recordings other than the two transient copies the data processing addendum describes (encrypted replica journal chunks, deleted after 24 hours, and the signed segments kept on the recorder's host until 7 days after their delivery, for re-delivery to you only); sells, licenses, catalogs, samples or otherwise makes your recordings available to anyone; derives data from them; uses them to test or develop our software, to build a test corpus, or to train or evaluate any model; delivers to you recordings made for our own testing; connects to a venue from a country its terms exclude, or masks the location of a connection; or exceeds a venue's published connection or request limits.

C. Venue warranties. For each recorder, you warrant when you order it, and for as long as it runs, that: (a) you have accepted the venue's current terms in your own name, and you keep to them as they change; (b) you are eligible to use the venue's services under those terms; (c) neither your business nor any person that owns or controls it, directly or indirectly, resides in, is located in, is incorporated or organized in, or has a registered office or principal place of business in, a country or territory that the venue's terms exclude, as listed for that venue when you order; (d) neither your business nor any such person is the subject of sanctions or on a restricted-party list named in the sanctions section of the terms of service or in the venue's terms; (e) where the venue catalog marks a venue as requiring a written license, you hold one that extends to a service provider operating on your behalf, and you supplied a copy before the recorder was provisioned, unless the catalog states that Nox FZE holds its own written permission for that venue; and (f) your use of the recordings stays within the venue's terms, including any bar on onward distribution or on training models. You tell us at legal@noxfze.com within one business day if any of these warranties stops being true or if a venue revokes your access. You indemnify Nox FZE against loss, liability and reasonable costs arising from a breach of these warranties.

D. Your confirmation for the venue. You give the confirmation for your venue by quoting it in full in your email reply under section 6, with the sender's typed name and title:

  • Lighter: "I confirm for [business legal name] that it has accepted Lighter's Terms of Service (last updated December 29, 2025) in its own name and is eligible under them; that neither it nor any person that owns or controls it, directly or indirectly, resides in, is located in, is incorporated or organized in, or has a registered office or principal place of business in the United States, Canada, the United Kingdom, China, North Korea, Russia, Ukraine, Cuba, Iran, Venezuela, Sudan, Belarus, Myanmar or Syria, or in any country or territory subject to comprehensive country-wide or regional sanctions; and that neither it nor any such person is sanctioned or on a restricted-party list. The venue warranties in clause C of this order form apply."

If the venue's terms carry a later date than the one in your confirmation when we provision the recorder, we ask you for a new confirmation first, and the recorder starts only once it arrives.

E. Service level and service credits. The service level is measured per recorder per calendar month as the fraction of hours sealed complete. It applies from the first hour delivered into your storage, except the hour in which your recorder first starts: that hour is recorded only from the start, and its manifest begins the recorder's hash chain. The commitment is 99.9%, which in every calendar month means every hour outside the exclusions below is sealed complete. Each exclusion rests on evidence you can check without Nox FZE. Excluded are: hours affected by an outage that the venue announced publicly, as the venue's own announcement shows; hours affected by the venue closing the connection of every replica of your recorder where no replica was connected again within one minute of that closing, as the reconnect windows and close codes in the sealed hours in your storage record it; hours after a venue ends, limits or suspends the access or channels a recorder uses or changes its terms so that the recorder is paused or ended under clause F, as the venue's notice or published terms show; hours affected by a bucket or write credential you supplied under Schedule 1, part C that refused or did not accept our deliveries, as your storage provider's records or your bucket's configuration show; periods of suspension for nonpayment, from our written notice of the suspension, and periods of suspension while a chargeback is reviewed under the refund policy; and hours affected by a change you requested in writing. Any other reconnect that the venue initiates is not an outage. For each hour outside the exclusions that is not sealed complete, you receive a service credit of 5% of that month's fee, up to 100% of that month's fee. We apply it automatically as a discount on your next invoice or, for an order billed through Paddle, on your next Paddle charge, or, where no further invoice or charge follows, refund it. A credit is a price reduction: it is never held as a balance, cannot be transferred and has no other cash value. To the extent the law permits, service credits and re-delivery of any hour still held on our hosts are your sole and exclusive remedy for a missed service level or an incomplete recording.

F. Suspension and termination. We may suspend or end your recorder, with notice where the cause allows it: for a material breach of this order form that you do not remedy within 14 days of our notice; for nonpayment 14 days after an invoice is due or, for an order billed through Paddle, once Paddle cancels the subscription for a failed payment; while a chargeback is reviewed, as the refund policy sets out; for a security or fraud risk; for repeated or serious breaches of the acceptable-use section of the terms of service; or as the sanctions section of the terms of service or a venue's terms require, including when a venue revokes access, a warranty in clause C stops being true, or a change in a venue's terms no longer permits the recorder. On termination your recorder stops, and the signed segments kept on our hosts for re-delivery are deleted 7 days after delivery. Your segments remain in your bucket.

1. Fees. For the recorder size your acceptance gives (Schedule 1, part B): USD 250 a month for up to 3 instruments, or USD 500 a month for up to 10. For an order invoiced by Nox FZE, the first billing period starts on the day of the first hour delivered into your storage; for an order billed through Paddle, it starts on the day of Paddle's first charge, and Nox FZE sends you Paddle's checkout only once the write-only credential for your storage works. The fees exclude value added tax and other sales taxes. For an order billed through Paddle, Paddle adds any sales tax due at checkout. For an order invoiced by Nox FZE, Nox FZE is not registered for VAT and charges none; if VAT becomes chargeable on a supply under this order form, it is added at the rate the law sets. You pay without deduction or withholding unless the law requires one, in which case you pay the further amount that leaves Nox FZE the full fee.

2. Billing and payment. Your acceptance chooses one of two routes (Schedule 1, part D), and Nox FZE's written confirmation under section 6 states the route that applies. Billing through Paddle applies only where that confirmation offers it; where it does not, Nox FZE tells you before it confirms, and you may choose route (b) or withdraw your acceptance. (a) Through Paddle: our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders billed through Paddle. Once Nox FZE confirms your order under section 6, it sends you Paddle's checkout for a monthly subscription, and Paddle charges you in advance each month and issues your invoices. Payment, taxes, renewals, cancellation and refunds are governed by Paddle's buyer terms, which you accept at checkout, and by the Nox FZE refund policy, version 1.0, published at https://noxfze.com/terms/refund/1.0. If this order form and Paddle's buyer terms conflict on a purchase, payment, refund or tax, Paddle's buyer terms govern that matter. Nox FZE never invoices or charges you itself for an order billed through Paddle. (b) Invoiced by Nox FZE: Nox FZE invoices you directly, in advance, monthly or quarterly (three months' fees). Each invoice is due within 14 days of its date. You pay by bank transfer or through the payment processor named on Nox FZE's invoice, through no other third party, and you bear all bank charges. If Nox FZE ends the order during a prepaid quarter for a reason other than your breach, it refunds the unused whole months. Under either route, you pay only from an account or card in your own name, never in a virtual asset and never from the funds of a listed person, and a change of recorder size, requested in writing, takes effect from the next billing period.

3. Term. The order runs from Nox FZE's written confirmation until either party ends it. You may end it by written notice or, for an order billed through Paddle, by canceling the subscription in Paddle's customer portal, effective at the end of the billing period in which the notice or cancellation arrives. Nox FZE may end it on 30 days' written notice, or under clause F.

4. Liability. The recording is what Nox FZE receives from the venue's public interfaces. A gap is recorded and marked as a gap and is never filled, and a marked gap is not a breach. Nox FZE gives no warranty that the venue's messages are complete or accurate. To the extent the law permits, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business or data, and Nox FZE's total liability in any 12-month period is limited to the fees paid or payable under this order form in the 12 months before the event. Nothing in this order form limits liability for fraud, willful misconduct or gross negligence, or any liability that the law does not allow to be limited. No third party has rights under this order form.

5. Eligibility and screening. You warrant that your business is established outside the United Arab Emirates or in a UAE free zone, and that Schedule 1, part A states correctly your legal name, registration and every person who ultimately owns or controls your business, with their country. Nox FZE does not accept an order where your business or any listed person is in a country the venue's terms exclude. It screens your business and each listed person before it confirms the order and whenever a list changes; a potential match suspends the recorder until it is resolved, and Nox FZE may suspend or end the order without notice where a sanction requires it.

6. How you accept. You accept these terms and order a recorder by an email reply to Nox FZE from an address at your business's own domain that contains the sentence "[business legal name] accepts the Nox FZE team terms version 1.3 and orders a recorder under them. I am authorized to accept them on its behalf.", gives the details of Schedule 1, quotes clause D in full for your venue, and ends with the sender's typed name and title. Your reply is your offer, and the person who replies confirms that they may bind your business. A reply from a support or generic mailbox, or with no named sender, is answered with a written request for a named person's confirmation. The contract is made when Nox FZE confirms it in writing, which it does only after its screening under section 5 is clear.

7. Terms of service. "The terms of service" are the Nox FZE terms of service for team orders, dated October 21, 2026, set out in Schedule 2 and published with these team terms at the same address; they are incorporated, and the clauses and sections above prevail over them. Schedule 2, part 3 is the data processing addendum referred to in clause B. For an order billed through Paddle, the refund policy named in section 2(a) also applies. No other terms of Nox FZE apply to this order form.

8. General. Notices are given in writing by email: to Nox FZE at legal@noxfze.com, and to you at the address in Schedule 1, part A. Questions about an order, including billing and refunds, go to contact@noxfze.com. Onboarding, the storage setup and every report are handled in writing. Nox FZE changes these terms only by publishing a new version; your order stays on the version you accepted unless both parties agree otherwise in writing. Neither party may assign this order form without the other's written consent. The English text governs.

  • Channels: order book, trade, or both

Part C. Storage (yours):

Part D. Billing: through Paddle (monthly), or invoiced by Nox FZE (monthly or quarterly); in advance either way.

Schedule 2. Nox FZE terms of service for team orders, dated October 21, 2026.

Part 1. Acceptable use. You do not use the service, or let anyone use it: for any unlawful purpose, fraud or spam, or in breach of a sanction or an export control; to capture, store or redistribute a venue's data in breach of that venue's terms, or to infringe anyone's intellectual property; to introduce malicious code into, probe, scan, scrape, load-test or interfere with the security or integrity of Nox FZE's systems or of any venue, or to reach another customer's recorders, keys or data; or to resell or provide the service itself to third parties as a service.

Part 2. Sanctions. Nox FZE screens your business and each person who owns or controls it before it confirms an order and whenever a list changes, against the UAE Local Terrorist List, the UN Security Council Consolidated List, the OFAC SDN List and the EU and UK consolidated lists. You confirm that neither your business nor any such person is listed on those lists or owned or controlled by a listed person, that you will not use the service from or for a country or person that a sanction or an export control prohibits, and that the details you give about each such person are accurate and that you have told them of Part 3 before giving them. A potential match suspends the service until it is resolved. Nox FZE may suspend or end the service without notice where a sanction or an export control requires it.

Part 3. Personal data. Nox FZE uses the names, roles, countries and contact details you give in Schedule 1 only to perform this order form and for the screening in Part 2, which UAE law requires of it (Cabinet Decision No. 74 of 2020, Article 15), under the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021) and, where it applies, the GDPR (Article 6(1)(f): its legitimate interest in performing this order form and complying with the sanctions law that binds it). It keeps that data for the order and five years after it, and billing records for as long as UAE tax law requires, then deletes them; requests about it go to legal@noxfze.com. For an order billed through Paddle, Paddle.com collects your payment and billing details as an independent controller under its own privacy notice and shares with Nox FZE the order details needed to supply the service. Where Nox FZE processes personal data for you, it acts as your processor (GDPR, Article 28(3)) for the recording, sealing and delivery this order form describes, for its term; the data are the account identifiers and per-account trade and position fields the venue publishes in the channels you order, and the data subjects are the venue's account holders. As your processor, it processes that data only on your documented instructions, which this order form and your specification are, unless the law requires otherwise; binds every person who processes it to confidentiality; keeps it secure with measures appropriate to the risk; engages another processor only under a written contract with the same obligations, after 30 days' written notice to you, and you may object by ending the order before the change takes effect; transfers it outside the United Arab Emirates only with the safeguards the UAE Personal Data Protection Law and, where it applies, the GDPR require; helps you answer data subjects' requests and meet your security, breach-notification and impact-assessment obligations; tells you of a personal data breach without undue delay; keeps only the two transient copies clause B describes, which are encrypted unsealed data deleted after 24 hours and the signed segments kept until 7 days after their delivery, and deletes the rest when the service ends; and makes available the information needed to show these obligations are met, and allows for and contributes to inspections by you or an inspector you mandate, on reasonable written notice.

Part 4. Intellectual property. Nox FZE and its licensors own Nox FZE's software, documentation, names and marks; these terms grant you only the use of the service during your order. The open verifier and the segment format specification are published under their own open-source licenses. Nox FZE claims no ownership of the segments recorded for you; rights in the venue's data stay with the venue under its terms.

Part 5. Warranties. Except as this order form expressly states, and to the extent the law permits, the service is provided as is and as available, without any other warranty, express or implied, including of fitness for a particular purpose. Except as clause E commits, Nox FZE does not guarantee that the service will be uninterrupted or error-free.

Part 6. Governing law and disputes. This order form, and any dispute arising out of or in connection with it, is governed by the laws of the Emirate of Umm Al Quwain and the applicable federal laws of the United Arab Emirates. Before either party starts proceedings, it notifies the other in writing, and the parties try in good faith to settle the dispute within 30 days of that notice. The courts of the United Arab Emirates sitting in the Emirate of Umm Al Quwain have exclusive jurisdiction.

Part 7. No advice. Nox FZE provides no financial, investment or brokerage service, places or routes no orders, and holds no money or assets for you. The recordings are a record of what the venue published, supplied for your own use. Nothing the service delivers, and nothing Nox FZE says about it, is investment, financial, legal or tax advice or a recommendation; every decision you make with the recordings is yours.

Published by Nox FZE: Nox FZE. Accepted by email reply under section 6; no signature is required.
