These pilot terms are published at https://noxfze.com/terms/pilot/1.0. The published copy never changes; a revision is a new version at a new address.

Parties. Nox FZE, a Free Zone Establishment with Limited Liability holding License No. 11054 issued by the Umm Al Quwain Free Trade Zone Authority, with its registered office at M1003, Al Shmookh Business Center, One UAQ, UAQ Free Trade Zone, PO Box 11250, Umm Al Quwain, United Arab Emirates ("Nox FZE"), and the Venue. The "Venue" is the legal entity whose terms of use govern the public interfaces of the venue named in the acceptance, as those terms name it.

1. The service. Nox FZE configures, operates, and maintains market data capture software to each customer's specification, with every hour sealed into a hash chain. For the pilot it runs recorders, to the Venue's specification, that record the Public Market Data of the Pilot Instruments in hourly segments and deliver them into storage the Venue owns. This is a service: Nox FZE sells the Venue no data, no packaged software and no software license, and gives no advice. The recorders connect only to the Venue's public, unauthenticated channels; they place no order, hold no funds or assets and produce no real-time output.

2. Definitions. "Pilot Instruments": the Venue's BTC and ETH perpetuals, or the perpetual and spot instruments the Venue lists in its acceptance; event, outcome and prediction contracts are excluded. "Public Market Data": the messages the Venue publishes, without authentication, on its public interfaces for the Pilot Instruments: its order book, trade and funding channels. "Record": the hourly segments Nox FZE makes of Public Market Data, in raw and losslessly normalized form, with their manifests and verification roots. "Pilot Term": the period in clause 4.

3. Consent. For the Pilot Term, the Venue authorizes Nox FZE to connect to its public interfaces, record the Public Market Data of the Pilot Instruments, hold the Record transiently and deliver it into storage the Venue owns. This consent prevails over, and for Nox FZE amends, any restriction on automated access, data extraction, commercial use, third-party use or service-bureau use in the Venue's terms of use, API terms or market data terms, including any term stating that it controls over other agreements.

4. Right, object, place and duration. Right: reproduction and storage for delivery to the Venue. Object: the Record. Place: Nox FZE's recording hosts and the Venue's storage. Duration: 30 days from the first hour delivered; the consent then ends without notice. Nox FZE acquires no right to use, license or publish the Record. It names the Venue nowhere.

5. Start and end. The pilot starts on Nox FZE's written confirmation. Nox FZE sends it only after its sanctions screening of the Venue and of each person who owns or controls it is clear and the Venue's storage accepts writes. The Venue may end the pilot at any time by replying "no"; recording stops within 24 hours. Nothing continues after the pilot without a further written agreement: a paid record or a coverage grant requires the Nox FZE venue order form version 1.1 (https://noxfze.com/terms/venue-order/1.1), signed by both parties.

6. No fee; liability. The pilot carries no fee. Clauses 3.1 to 3.5 of the venue order form version 1.1 apply to the pilot as if set out here: the sole remedy for an incomplete Record is re-delivery, and Nox FZE's total liability is limited as clause 3.3 sets out, never to zero.

7. Sanctions; personal data. The Venue warrants that neither it nor any person that owns or controls it is listed on the UAE Local Terrorist List, the UN Security Council Consolidated List, the OFAC SDN List, or the EU or UK consolidated lists, and that it is not organized or located in a country under comprehensive UN, UAE, US, EU or UK sanctions. It tells Nox FZE within 2 business days if this becomes untrue. A potential match suspends the pilot until it is resolved. Nox FZE uses the names, roles and countries of the persons it screens, and the name and email address of the person who accepts, only to screen them and to keep the record of these terms, under the UAE Personal Data Protection Law and, where it applies, the GDPR (Article 6(1)(f): its legitimate interest in complying with the sanctions law that binds it). It keeps screening data for five years after the pilot ends, then deletes it; requests about it go to legal@noxfze.com.

8. Writing; law. Every notice, onboarding step and report under these terms is given in writing by email: to Nox FZE at legal@noxfze.com, and to the Venue at the address it accepted from. These terms, and any dispute arising out of or in connection with them, are governed by the laws of the Emirate of Umm Al Quwain and the applicable federal laws of the United Arab Emirates. Before either party starts proceedings, it notifies the other in writing, and the parties try in good faith to settle the dispute within 30 days of that notice. The courts of the United Arab Emirates sitting in the Emirate of Umm Al Quwain have exclusive jurisdiction. The English text governs.

9. Acceptance. The Venue accepts these terms by an email reply from an address at its own domain, by a named person authorized to accept them for it. The preferred form is: "[Venue legal name] accepts the Nox FZE pilot terms version 1.0. I am authorized to accept them on its behalf. [Name, title]". A reply of "yes" from a named person to a letter that links these terms accepts them for the Venue the letter names. A reply from a support or generic mailbox, or with no named sender, is answered with a written request for a named person's confirmation, and nothing connects before it arrives.

Published by Nox FZE: Nox FZE. Accepted by email reply under clause 9; no signature is required.
